1. PROGRAM OVERVIEW
1.1 Purpose: Loop Costumes operates an online marketplace for buying and selling pre-owned costumes. This Studio Earning Program (the "Program") allows the Studio to earn commissions when families affiliated with the Studio list and sell costumes through the Platform.1.2 How It Works: Studio promotes Loop Costumes to its families and students; Families create Loop Costumes accounts and select the Studio as their affiliated partner; When families sell costumes, Loop Costumes charges a standard commission on each sale; Studio earns a percentage of that commission based on the tier structure outlined in Section 3; All commission sharing comes from the Platform's revenue, not from family earnings2. STUDIO RESPONSIBILITIES
2.1 Promotion
Studio agrees to promote Loop Costumes to its community through reasonable means, which may include: Sharing information via email, newsletters, and social media, Displaying promotional materials in the studio, Mentioning the program to families verbally or in parent meetings2.2 Compliance
Studio will encourage families to comply with Loop Costumes' Terms of Service and Community Guidelines, and will not encourage or assist in any prohibited activities, including listing counterfeit items, prohibited content, or engaging in fraudulent transactions.2.3 Independent Promotion
Studio will not represent itself as an agent, employee, or official representative of Loop Costumes. Studio is an independent participant in the Program.3. EARNINGS STRUCTURE
3.1 Tier System
Studio earnings are based on the number of active listings (costumes currently listed for sale) associated with families who have selected this Studio as their partner. Tiers are calculated biannually based on the average number of active listings during each six-month payment period.3.2 Tier Commissions
Standard Rates: The following commission rates apply to all studios after their initial 12-month period:

Founding Studio Welcome Offer: As one of our first 10 Studios to enroll, you will receive elevated commission rates for your first 12 months of participation:

Studio earnings apply only to completed transactions where: Payment has been successfully processed from the buyer, The costume has been delivered successfully, No return or refund has been initiated within the return window (per Loop Costumes policy)3.4 Commission Structure Review and Modifications
Loop Costumes reserves the right to review and modify the commission structure, tier thresholds, and payment terms at any time. Any changes to the commission structure will be communicated to enrolled studios at least 30 days in advance of taking effect. Studios will have the opportunity to review proposed changes and may terminate this Agreement if the changes are unacceptable.
Founding Studio Welcome Offer rates are guaranteed for the first 12 months from your enrollment date and will not be reduced during that initial period, regardless of any program-wide modifications.4. PAYMENT TERMS
4.1 Payment Schedule
Earnings will be calculated and paid twice yearly (biannually). July & December.4.2 Payment Method
Studio will provide valid payment information (bank account details or other approved method). Studio is responsible for keeping this information current.5. ACCOUNT ATTRIBUTION
5.1 Studio Selection
A seller will be attributed to a Studio when they select the Studio during account creation, or update their profile to add Studio affiliation5.2 Attribution Verification
Loop Costumes reserves the right to verify that attributed sellers are actively enrolled with the Studio at any time. Studios agree to confirm seller enrollment status upon request from Loop Costumes within 5 business days.6. PLATFORM RIGHTS AND RESPONSIBILITIES
6.1 Platform Services
Loop Costumes will: Provide access to promotional materials and collaborate on content, Process all transactions and handle customer service, Calculate and distribute Studio earnings according to this Agreement, Maintain the marketplace infrastructure6.2 Quality Control
Loop Costumes reserves the right to remove listings, suspend user accounts, or take other actions necessary to maintain marketplace quality and safety. Such actions may impact Studio earnings if they reduce active listings.7. TERM AND TERMINATION
7.1 Initial Term & Renewal
This Agreement begins on the Effective Date and continues for an initial term of one (1) year. This agreement will automatically renew for successive one-year terms unless either party provides written notice of non-renewal.7.2 Termination for Cause
Loop Costumes may terminate this Agreement immediately if Studio: materially breaches any provision of this Agreement, engages in fraudulent activity or collusion, encourages families to violate Platform policies, or business ceases operations.8. CONFIDENTIALITY AND DATA
8.1 Confidential Information & Data Usage
Both parties agree to keep confidential any proprietary information shared during this relationship, including earnings data, family information, and business strategies. Loop Costumes will provide Studio with aggregated, anonymized data about listings and sales attributed to the Studio. Studio will not receive personally identifiable information about individual families or buyers.
